Application License Agreement

Important: This Application License Agreement (hereinafter, "LICENSE") is a legal agreement for the use of the application between the end user, either individual or an authorized representative of the company (hereinafter "Customer"), and Soliton Systems K.K. (hereinafter, "Soliton").

By installing the application, Customer is consenting to be bound by this agreement. If Customer does not agree to the terms and conditions of this agreement, please do not download and install the application.

Article 1. License Grant

1. Soliton holds the right to grant the use of the licensed program (hereinafter "APPLICATION") , as the original owner of the "APPLICATION", or under the license agreement with the original owner.

2. Soliton grants non-exclusive license to Customer as follows :

(1) To copy all or part of the "APPLICATION" for the purpose of backup.

(2) To install the "APPLICATION" in computer up to the number of computer for which license have been granted. "Install" means to set up the "APPLICATION" in computer.

3. In case the "APPLICATION" is updated by Customer, the number of users licensed for the previous versions under this agreement shall expire automatically.

Article 2. Attribution of Intellectual Property Rights

1. The ownership of intellectual property rights of the "APPLICATION" and the copied products which were made by Customer under the item 2 of Article 1 shall belong to "Soliton" or the original owner of the permitted license. The "APPLICATION" is protected by copyright law, international copyright treaty, and any other laws and treaties concerning intellectual property rights.

2. No rights shall be transferred or granted to Customer except the rights which are permitted under this agreement.

Article 3. Prohibited Uses

Customer may not :

(1) Use or Copy beyond the scope permitted by this agreement.

(2) Transfer, rent, lease, distribute, sub-license, or any other act similar to the foregoing, to the third party, whether it is for commercial or non-commercial purpose.

(3) Modify, reverse-engineering, disassembling, or any other act similar to the foregoing, on the "APPLICATION".

(4) Change or delete copyright notice on the "APPLICATION".

(5) Direct or indirect export of the "APPLICATION".

Article 4. Warranty

1. The following shall not be covered by warranty whether it is with or without charge.

(1) Any kind of direct, indirect or incidental damage which may arise from the use of Soliton's application products.

(2) Misuse, remodeling, operations that do not meet the environmental specification to which Soliton agreed, or, malfunction or damage resulting from the use of application and media which were not made by Soliton.

(3) Malfunction or damage that may arise from natural disaster or inevitable force.

Article 5. Application

The "APPLICATION" may in part be using Open Source Application. In case Item 1 and Item 2 in Article 1, Article 2 and "Restriction" in Article 3 (hereinafter collectively "Restriction") conflict with the law applicable (hereinafter Applicable Law) to the "APPLICATION" or conflict with the license agreement of Open Source Application (hereinafter "Third Party Licensing") contained in the "APPLICATION", Applicable Law and Third Party Licensing shall prevail over Restriction in this agreement with regard to Open Source Software.

Article 6. Escape Clause

1. Despite "Warranty" stipulated in Article 4, in case the "APPLICATION" uses Open Source Application in part, Soliton shall not warrant Open Source Software. Furthermore, in case source code of Open Source Application is provided to Customer by third party licensing, Soliton will not support or warrant such source code.

2. In any event, Soliton shall not be responsible for any positive or passive damage, whether direct or indirect, which may arise from providing source code of Open Source Application, usage or performance of Open Source Software.

3. About the direct or consequential damage which arises from use or out of use of this application, no responsibility is carried out.

Article 7. Miscellaneous

1. This agreement comes into effect when Customer installs the application. This agreement shall be valid until Customer terminates the use of the "APPLICATION" or Soliton terminates this agreement based on the following items.

2. In case Customer violates any of the articles in this agreement, Soliton may terminate this agreement immediately without any notice to Customer. In such case, Customer shall uninstall the "APPLICATION" from their computer, and return it and its copied product as well as all accessories to Soliton. The purchase price shall not be refunded if the return arises from this Item 2 of Article 7.

3. Soliton is entitled to make claim to Customer for compensation, if Soliton suffers damage due to the violation of this agreement by Customer.

4. If any dispute out of or related to this agreement can not be resolved amicably by two parties, such dispute shall be settled by Tokyo District Court for its original jurisdiction.

5. This agreement shall be governed by and construed under the laws of Japan.
